MSP acquisition profile

A Managed Service Provider as a platform for growth.

My primary interest is a strong Dutch MSP acting as the outsourced IT department for B2B SMEs. The strongest fit is with MSPs whose client base is centred on organisations without a fully developed in-house IT function.

Ideal profile

Focused, not rigid.

The criteria indicate where the strongest fit lies. Each company is assessed as a whole, with recurring revenue quality, team, clients and transferability carrying significant weight.

Target clients of the MSP

Focused on SMEs without a fully developed in-house IT department.

Preferably, the MSP mainly serves client organisations with roughly 50–150 employees. This refers to the MSP's end clients, not the size of the company being acquired.

Strong preferences

Predictable services and transferable client relationships.

Contractual revenue

Preference for more than 65% managed-service revenue, low churn and long-standing client relationships.

Independent service team

An operational lead and team that are not fully dependent on the owner.

Healthy revenue mix

Hardware and project revenue can support the model, but should not be its economic core.

Exclusions

What does not fit.

01

Pure hardware reseller

No model primarily driven by one-off hardware margins.

02

Staffing / bodyshop

No business where selling capacity and hours is the economic core.

03

Project-led services

No web agency or consultancy business without substantial managed-service revenue.
